Terms of Service

These terms govern your access to and use of Canary, a service provided by Crox Ltd. By creating an account or subscribing to a paid tier, you agree to these terms. If you don't agree, don't use the service.

1. Who you're contracting with

The service is provided by Crox Ltd, a company registered in England and Wales ("we", "us"). When we refer to "you", we mean the individual or organisation accessing Canary. If you are signing up on behalf of your firm, you confirm you have the authority to bind it to these terms.

2. The service

Canary aggregates and synthesises information published by the Care Quality Commission (CQC) and delivers it through email and a web interface. Three tiers are offered:

The current scope of each tier is described on canary.crox.io. We may add, remove, or change features. Material reductions to a paid tier give you the right to cancel and receive a pro-rata refund.

3. Account responsibility

You are responsible for keeping your account credentials secure and for all activity under your account. Tell us at [email protected] if you suspect unauthorised access.

4. Fees and billing

Canary Watch is free. Canary Track and Canary Oversee are billed in advance, monthly or annually. Stated prices are exclusive of VAT, charged where applicable. Failed payments may result in suspension after a 7-day grace period.

You may cancel a paid subscription at any time from your account or by emailing us. Cancellation takes effect at the end of the current billing period. The first 30 days of any new paid subscription are refundable on request.

5. What you can and can't do

You may use Canary's outputs, including the monthly synthesis PDF, inside your professional practice. You may forward, share, and reference the Track and Oversee PDFs in client deliverables. You may quote Canary's synthesis in writing and presentations, with or without attribution.

How we handle your personal data is described in the Privacy Policy. The data Canary processes about CQC-registered providers is publicly published by CQC under the Open Government Licence. See Data Sources for details.

7. Intellectual property

Canary, the Canary brand, and the platform are owned by Crox Ltd. The synthesised commentary in your monthly PDF is licensed to you for your professional use, including forwarding to clients. The underlying CQC data is published by CQC under the Open Government Licence v3.0 and is not owned by Crox.

8. Accuracy and limitations

Canary is an analysis layer over public data. We take reasonable care that synthesis is grounded in the underlying data and does not invent claims. The CQC data itself is published by CQC and may contain errors, omissions, or be out of date relative to the regulator's internal records. Canary's synthesis is professional intelligence, not regulatory advice or a substitute for direct engagement with CQC. You are responsible for verifying any specific claim before acting on it.

9. Service availability

We aim for 99.5% monthly uptime on paid tiers, measured against availability of the web app and email synthesis delivery within 24 hours of scheduled run. Planned maintenance is announced in advance. Where we miss this in any month, paid subscribers may request service credit equal to one day per percentage point shortfall.

10. Liability

To the extent permitted by law, our total liability to you under these terms in any 12-month period is capped at the fees you have paid us in that period (or £100, whichever is greater). We are not liable for indirect, special, or consequential losses, lost profits, or loss of opportunity. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

11. Termination

You may terminate by closing your account. We may terminate or suspend your access if you breach these terms, fail to pay, or use Canary in a way that materially threatens the service or other users. On termination, your access ends and we delete your account data per the retention schedule in the Privacy Policy.

12. Changes to these terms

We may update these terms. Material changes will be notified by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These terms are governed by the law of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
